Vendor agrees to indemnify, defend, and hold harmless BFM Marketplace LLC, the property owner, and their respective owners, officers, employees, agents, affiliates, and assigns (“Indemnified Parties”) from any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to:

• Vendor’s use of or presence at the Market;

• Any injury to persons or damage to property, including from slips, trips, falls, merchandise, equipment, or displays;

• Any goods or services sold or offered by Vendor;

• Any acts, omissions, or negligence of Vendor or their representatives.

This includes claims arising in whole or in part from the alleged or actual negligence of the Indemnified Parties, to the fullest extent permitted by Pennsylvania law.

Vendor assumes all risks and waives any claims related to participation in the Market.
